Welcome to Art Show Hub. These Terms of Service ("Terms") govern your access to and use of Art Show Hub's website, products, and services ("Services"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using Art Show Hub, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Art Show Hub provides a white-label software-as-a-service (SaaS) platform that enables art galleries, artists, and art organizations to:

• Create and manage online art shows and exhibitions
• Manage artist profiles and artwork submissions
• Process payments for artwork sales through integrated payment services
• Provide public-facing galleries for collectors and visitors
• Access analytics and reporting tools

3. Account Registration

To use certain features of the Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

You must be at least 18 years old to create an account and use our Services.

4. Subscription Plans

4.1 Subscription Tiers: Art Show Hub offers multiple subscription tiers with varying features and pricing. Current pricing and features are available on our Pricing page.

4.2 Billing: All subscriptions are billed annually. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be notified before renewal.

4.4 Tier Features: Each subscription tier provides different feature access, capacity limits, and support levels as described on our Pricing page. Feature availability may change with reasonable notice.

5. Payments and Billing

5.1 Payment Processing: All payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service. We do not store complete credit card numbers on our servers.

5.2 Pricing Changes: We reserve the right to change our pricing at any time. Price changes for existing subscribers will take effect at the next billing cycle with at least 30 days' prior notice.

5.3 Refund Policy: Subscription fees are non-refundable except as required by applicable law or at our sole discretion. If you cancel your subscription, you will continue to have access until the end of your current billing period.

5.4 Plan Changes: You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the next billing cycle.

6. User Content

6.1 Ownership: You retain ownership of all content you upload, submit, or display through the Services ("User Content"), including artwork images, artist profiles, and show descriptions.

6.2 License Grant: By uploading User Content, you grant Art Show Hub a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content solely for the purpose of operating and improving the Services.

6.3 Prohibited Content: You are solely responsible for your User Content and represent that you have all necessary rights to upload and share such content. You agree not to upload content that:

• Infringes any third-party intellectual property rights
• Is unlawful, defamatory, obscene, or offensive
• Contains malware, viruses, or harmful code
• Violates any applicable laws or regulations
• Depicts illegal activities or promotes violence

7. Intellectual Property

7.1 Our Property: The Services, including all software, designs, text, graphics, and other content created by Art Show Hub, are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services without our prior written consent.

7.2 Your Property: You retain all intellectual property rights in your User Content. Nothing in these Terms transfers ownership of your content to Art Show Hub.

8. Prohibited Uses

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Send spam or unsolicited communications through the Services
• Attempt to gain unauthorized access to any part of the Services or related systems
• Use automated systems or software to extract data from the Services (scraping)
• Interfere with or disrupt the Services, servers, or networks
• Impersonate any person or entity, or falsely represent your affiliation
• Sell, resell, or commercially exploit the Services without authorization
• Upload or transmit viruses, malware, or other harmful code

9. Termination

9.1 By You: You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.

9.2 By Us: We may suspend or terminate your access to the Services at any time for violation of these Terms, illegal activity, non-payment, or any other reason at our discretion. We will provide notice when reasonable.

9.3 Effect of Termination: Upon termination, your right to use the Services ceases immediately. You may export your data before cancellation. We may retain certain data as required by law or for legitimate business purposes.

10. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ART SHOW HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Art Show Hub and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

13.1 Informal Resolution: Before filing any formal legal action, you agree to first contact us at hello@artshowhub.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Arbitration: If informal resolution is unsuccessful, any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Denver, Colorado.

13.3 Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Services.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
